Acceptance of Terms

Welcome to webstrategist. These Terms of Service ("Terms") govern your use of the webstrategist website (webstrategist.pro) and services provided by webstrategist B.V., a company registered in the Netherlands with registration number 53829614 and VAT number NL846592037B01.

By accessing or using our website and services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or services. These Terms constitute a legally binding agreement between you and webstrategist.

We may modify these Terms at any time by posting the revised terms on our website. Your continued use of our services after such changes constitutes your acceptance of the new Terms.

webstrategist provides digital marketplace consulting and development services, including but not limited to:

• Technical support and maintenance services

User Obligations

For work performed under specific service agreements, intellectual property ownership will be defined in those agreements. Generally, custom work developed specifically for clients will be transferred to the client upon full payment, while webstrategist retains rights to general methodologies, techniques, and know-how.

The webstrategist name, logo, and trademarks are the property of webstrategist and may not be used without express written permission.

Payment Terms

Payment terms for our services will be specified in individual service agreements. Unless otherwise agreed:

• Invoices are payable within 30 days of the invoice date
• Late payments may incur interest charges at the rate of 1.5% per month
• All prices are exclusive of applicable taxes unless stated otherwise
• webstrategist reserves the right to suspend services for overdue accounts

Refunds, if applicable, will be handled according to the specific terms outlined in your service agreement.

Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which forms part of these Terms. By using our services, you consent to the collection and use of your information as described in our Privacy Policy.

We comply with applicable data protection laws, including the General Data Protection Regulation (GDPR), and implement appropriate security measures to protect your data.

Limitation of Liability

To the maximum extent permitted by applicable law, webstrategist shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services.

Our total liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the amount paid by you to webstrategist for the specific service giving rise to the claim in the 12 months preceding the claim.

We provide our services "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential or incidental damages, so the above limitations may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless webstrategist and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms or your use of our services.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of Amsterdam, Netherlands, and you hereby consent to the personal jurisdiction and venue therein.

If you are a consumer residing in the European Union, you may have additional rights under local consumer protection laws, and nothing in these Terms affects those rights.

Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms.

You may terminate your use of our services at any time by discontinuing use of our website and services. Termination of specific service agreements will be governed by the terms of those agreements.

Upon termination, your right to use our services will cease immediately, but all provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

Force Majeure

webstrategist shall not be liable for any failure or delay in performance under these Terms that is due to fire, flood, earthquake, elements of nature, acts of God, acts of war, terrorism, riots, civil disorders, rebellions, or other causes beyond our reasonable control.

Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions will remain in full force and effect, and the invalid or unenforceable provision will be deemed modified to the extent necessary to make it valid and enforceable.

Entire Agreement

These Terms, together with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and webstrategist regarding the use of our services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
